WorldSourceDirect.com (WSD) is a division of TOC Commercial Printer provides its service to You “The Client”, subject to the following Terms of Use, which may be updated by us from time to time without prior notice. The following describes the terms on which you can use our site. Please read them carefully. This WSD Terms and Conditions comprises the entire agreement between You “The Client” and WSD. BY CLICKING THE "I ACCEPT" BUTTON AND COMPLETING THE REGISTRATION PROCESS, YOU ARE INDICATING YOUR AGREEMENT TO BE BOUND BY EACH AND EVERY TERM AND CONDITION OF THIS WSDTC.

Description of WSD Service

To register in our directory, you must be able to form legally binding contracts under applicable law. If you are underage or otherwise do not qualify.

Description and Contact Details – means any information/attachments you provide to us during registration, or editing your details, is solely your responsibility. You undertake that these information, will not:  (1) infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (2) violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising), or cause such violation by WSD; (3) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (4) be obscene or pornographic; (5) contain any viruses or other malicious elements; or (6) include any links which you do not have the right to include. We reserve the right to take any action with respect to such information we deem necessary or appropriate in our sole discretion if we believe it may create liability for us or may cause us to lose (in whole or in part) the services of our ISPs or other suppliers.

WSD is an online directory service, which is an electronic, and/or Internet version of the yellow pages and is equipped with features that may make the search on businesses more easy and relevant (hereinafter referred to as the "System").

Upon registration, the Client will be able to use the System for FREE and is welcome to renew, upgrade, or edit the information as many times as the Client want. If the Client has a website, including the website link in the registration is available for only USD $25.00 a year. If the Client wish to register their company for more than one (1) category, the following rates apply:

Second (2nd category is for USD $5.00 a year; Third (3rd) category  is for USD $5.00 a year; Fourth (4th) category  is for USD $5.00 a year; Fifth (5th) category  is for USD $5.00 a year.

If the Client wishes to avail this service/(s), payment should be made via bank transfer within the next 7 days or the website link and/or the categories will be deleted. (Rates indicated does not include the necessary taxes)

In consideration for the System, the Client agrees to: (1) provide certain current, complete, and accurate information about the Client as prompted to do so by the System and (2) maintain and update this information as required to keep it current, complete and accurate. All information requested on the original Registration Form shall be referred to as business information. Furthermore, the Client grants WSD the right to disclose to third parties certain Business Info about the Client and its membership.

If any information provided by the Client is in any way inaccurate, misleading or fraudulent, WSD reserves the right to terminate the Client’s membership, it’s right to use the Service and/or its listing.

WSD is not liable for any inaccurate, misleading or fraudulent information updates on the Client’s page. It is the responsibility of the business representative of the Client to secure the ID and password.

The Client acknowledges that any alteration and/or modification to its page cannot be made without both the username and password. Hence, the Client is conclusively presumed to have made such alteration and/or modification. The Client understands that WSD will not ask it to update its information. It is the responsibility of the Client to update its own information.

WSD will use information collected through its site to make your company’s products and services available and accessible online. We will also use information we collected to identify you, to communicate with you and to advice you of any inquiries made thru WSD.

WSD reserves the right to modify or discontinue the System with or without notice to the Client. WSD shall not be liable to the Client or any third party should WSD exercise its right to modify or discontinue the System.

Notices to you may be made via either email or regular mail. We may also provide notices of changes to the Terms of Use or other matters by displaying notices or links to notices to you generally on the website.

Client Business Conduct

The Client is solely responsible for the contents of its transmissions through the System. The Client hereby warrants that its use of the System complies with all applicable local, national and international laws and regulations and agrees, among others; not to use the System for illegal purposes; not to interfere or disrupt networks connected to the System; and to comply with all regulations, policies and procedures of networks connected to the System.

The System makes use of the Internet to send and receive certain messages; therefore, the Client’s conduct is subject to Internet regulations, policies and procedures. The Client agrees not to transmit through the System any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material of any kind or nature.

The Client further agrees not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, national or international law or regulation.

Attempts to gain unauthorized access to other Client’s username and password are prohibited. The Client shall not interfere with another Client's use and enjoyment of the System or another entity's use and enjoyment of similar services.

The Client will comply with all applicable laws, statutes, ordinances and regulations in connection with your use of the WSD website.

WSD may, at its sole discretion, immediately terminate the System should the Client's conduct fail to conform to these terms and conditions of the WSDTC.

Indemnification

The Client agree to indemnify and hold TOC Commercial Printer officers, its parents, subsidiaries, affiliates, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the System, your use of the System, your connection to the System, your violation of the Terms of Use, or your violation of any rights of another.

Client Sales Transactions

The Client undertake that neither the merchandise offered for sale at your webpage in WSD or your individual website, nor the advertising or selling of it, will infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;

The Client will not violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising), or cause such violation by WSD; be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; contain any viruses or other malicious elements; or include any links which you do not have the right to include.

The Client agree to offer merchandise for sale in good faith, i.e. so that in general you will be able to meet orders placed at the prices and in the sizes, colors etc. offered. You will not arbitrarily delay or refuse to accept and/or fulfill orders placed by visitors. You will not operate any covert 'Dutch auction' or other system whereby you secretly ascertain who will pay most and fill only some orders on that basis.

The Client will comply with applicable Data Protection laws, including without limitation by holding suitable registrations for your activities. You will not disclose any personal data about any of your customers or potential customers to any third party, except in accordance with Data Protection laws, your registrations, and consistently with TOC Commercial Printer public statements on Privacy.

The Client may politely draw attention to any true differences in price, etc. which you can support objectively. However, in the interests of all, you will not refer negatively to other Merchants, or their merchandise etc. as such conduct may cause the other Merchant to take action against you in law.

You agree that we may operate or introduce feedback mechanisms to enable us to evaluate the visitor opinions on you, and that we may terminate the agreement if the proportion of feedback which is negative exceeds a level set objectively by us. By accepting feedback, you are agreeing that customers may make statements about your conduct which you regard as untrue. In any such case, if you contact TOC Commercial Printer by email, giving full details, we will conduct a brief investigation and may discount the offending statement(s). Provided we investigate (but whether or not we discount the statement) you hereby waive any right you might otherwise have against TOC Commercial Printer. in connection with such statements, any resulting termination and losses resulting. You accept that TOC Commercial Printer cannot control such statements and it is not practicable to conduct full, detailed, investigations.

For orders made outside the Philippines, Laws governing some customers may differ from Philippine laws. It is your responsibility to ensure that selling or advertising your merchandise to non-Philippine customers complies with their laws also. As one example, a medicine may require prescription in a foreign country where it is 'over the counter' in the Philippines. You are responsible for checking that your activities are all lawful.

Termination of Rights

We can terminate your presence in WSD without prior notice if in our sole judgement:
1. You are not operating with a high standard of business ethics,
2. Your continued presence may damage the reputation of the WSD in the eyes of visitors or any class of visitors,
3. Your presence in WSD has exposed us to liability or loss (not withstanding the indemnity you have given above), or there is a serious possibility that it will in future, iv. your site, merchandise, services, business dealings or methods of doing business breach (or may lead to the breach of) any law or regulation, or
4. You are in breach of these terms as they relate to WSD. You acknowledge that the ability on our part rapidly to terminate individual Merchants without risk of liability is essential for the well-being of WSD, and therefore you waive any claim against us for loss arising out of such termination.
5. Upon termination of the System, the Client's right to use the System immediately ceases, and the Client understands that WSD shall have the unilateral right to either retain or delete files in the Client's account, page and/or bar any further access to such files or the System.

Disclaimer

The Client expressly agrees that use of the System is at the Client’s sole risk. WSD expressly disclaims all warranties of any kind, whether expressed or implied. WSD makes no warranty that the service will meet the Client’s requirements or that the System will be uninterrupted, timely, or error free.  The Client understands that any material and/or data downloaded or otherwise obtained through the use of the System is done at the member’s own discretion. WSD makes no warranty regarding any goods or services purchased or obtained through the System or any transactions entered into through the System. Neither does WSD recommend or endorse goods or services appearing in the website. No advice or information, whether oral or written, obtained by the Client from WSD or through the System shall create any warranty not expressly made herein.
